Commercial negotiation support for subcontractors
Knowing where a subcontract creates risk is the first step. SubProtect’s Review + Negotiation package helps you decide what to ask for, explain the commercial reasons and assess the main contractor’s response.
Start with the contract risk review
The package includes the same written Contract Risk Review as the review-only service. That gives you a structured assessment of the proposed terms, a priority risk register, recommended positions and a practical checklist.
The additional support is for the discussion that follows: which issues need attention, what a workable fallback could look like and what the revised position means for your business.
Up to three hours of post-review commercial support
- Telephone or Teams discussions about the report and negotiating priorities.
- Review of the main contractor’s response to proposed changes.
- Drafting and reviewing contractual correspondence within the agreed scope.
- Assistance responding to proposed amendments.
- Refining negotiating strategy and updated positions.
The included support is capped at three hours; it is not an unlimited negotiation service. Any additional time must be agreed before that work is undertaken. See the current package and additional-support fees.
Prioritise the issues that matter to your works
A negotiation can involve commercial trade-offs. Some provisions call for an amendment, some require clarification and others may need an operational control if they remain. The review helps you distinguish these issues and concentrate effort on the risks that matter most.
For example, a proposed notice requirement may need to be considered alongside the programme and your team’s administration arrangements. The aim is to make the decision clear, rather than treating every clause as an equally important objection.
Keep instructions and decisions clear
Provide the latest contract pack, the review comments, the contractor’s responses and any changes already agreed. Explain who can approve changes for your business and the deadline for returning the subcontract.
You retain the decision on the terms you accept. SubProtect does not guarantee that a main contractor will agree an amendment, and any direct dealings or authority to act must be agreed in the engagement scope.
Choose the right starting point
If you only need the report and will handle the discussions internally, the written subcontract review may be appropriate. If the pack is JCT-based, see the JCT subcontract review page.
SubProtect provides commercial and contractual risk assessment. It is not a regulated legal practice, and matters requiring specialist legal advice should be referred to an appropriate adviser.
