JCT subcontract reviews and amendment checks
A familiar JCT name does not tell you the whole commercial position. The subcontract particulars, schedule of amendments and incorporated documents need to be read together. SubProtect helps UK subcontractors understand the proposed obligations before signing.
Working with a different form? We review all forms of construction subcontract, including NEC and bespoke contractor terms. Explore our construction subcontract review service.
Review the proposed pack, not just the standard form
Main contractor amendments can change how risk is allocated. An order may also refer to a programme, scope, main contract provisions or other documents that affect what you must deliver and how you are paid.
SubProtect considers the documents supplied for your proposed subcontract, identifies material commercial changes and highlights missing information or clarification points. The review does not assume that a provision is acceptable simply because it appears in a standard-form contract.
The commercial questions we examine
- What must be included in each payment application, and when must it be delivered?
- What notice procedures apply to delay, change and additional cost?
- How do the proposed completion dates and programme obligations affect the works?
- What design responsibility, insurance and liability obligations are being accepted?
- How are variations instructed and valued?
- What do the amendments, document hierarchy and incorporated obligations change?
The answer depends on the particular form, edition and amendments. The review explains the position in the supplied pack rather than applying a generic list of clause numbers.
A clear set of actions before signature
The Contract Risk Review prioritises the main risks and explains their practical consequences. You receive recommended negotiating positions and fallbacks, alongside points that may need an operational control or specialist advice.
The review also includes the project-team checklist and Contract Administration Cheat Sheet. These help the people administering the subcontract identify the relevant dates, procedures and responsibilities once the terms have been agreed.
Documents to have ready
Provide the proposed order, the JCT form and edition, subcontract particulars, schedule of amendments, scope, programme and any incorporated documents you have received. Identify your signature deadline and any qualifications or clarifications already agreed.
If part of the pack is missing, explain what has been requested and what is outstanding. An initial enquiry can be made before the pack is complete.
Review only or review with negotiation support
The written review is the same in both packages. The Review + Negotiation package adds up to three hours of commercial support following the report. See packages and fees, the full review scope and negotiation support.
Timing is agreed before work starts. SubProtect is a commercial contract-risk service, not a firm of solicitors. The service does not guarantee acceptance of amendments or replace specialist legal advice.
